Vendor Terms

Effective Date: January 1, 2025

These Vendor Terms constitute a legally binding agreement between you (the "Vendor") and FinxCart ("the Platform"). By registering as a vendor and listing products or services on finxcart.com, you agree to be fully bound by these terms.

1. Vendor Agreement

By activating your vendor account on FinxCart, you confirm that:

- You have read and accepted FinxCart's Terms & Conditions and Vendor Policy

- You are legally authorized to sell the products or services you list

- All information provided during registration is accurate and truthful

- You are responsible for all activity that occurs under your vendor account

2. Vendor Account

- Each vendor is permitted one account on FinxCart

- Vendor accounts are non-transferable and may not be shared with third parties

- You are responsible for keeping your login credentials secure

- FinxCart reserves the right to verify your identity and business details at any time

3. Listing & Sales Agreement

By creating a listing on FinxCart, you agree that:

- The product or service described is accurate, deliverable, and legally compliant

- You will honor the price listed at the time of purchase

- You will fulfill all orders in a timely and professional manner

- FinxCart may feature, promote, or display your listings across the platform and its marketing channels

4. Commission & Payouts

- FinxCart deducts a platform commission from each completed sale (rates are displayed in your vendor dashboard)

- Payouts are processed on a rolling schedule as outlined in your vendor dashboard

- FinxCart reserves the right to withhold payouts in cases of suspected fraud, disputes, or policy violations

- Vendors are solely responsible for reporting and paying any applicable taxes on their earnings

- FinxCart does not withhold taxes on behalf of vendors unless required by law

5. Refunds & Chargebacks

- Vendors agree to FinxCart's refund policy and must process valid refunds promptly

- In the event of a chargeback initiated by a buyer, FinxCart may deduct the disputed amount from the vendor's pending balance pending resolution

- Vendors with excessive chargebacks or refund rates may face account review or suspension

- Vendors may not issue partial refunds outside of what is permitted under FinxCart's refund guidelines

6. Intellectual Property Warranty

By listing on FinxCart, you warrant that:

- You are the original creator or have obtained full legal rights to sell the listed product or service

- Your listings do not infringe upon any third-party copyrights, trademarks, or patents

- You will indemnify and hold FinxCart harmless from any claims arising from intellectual property violations related to your listings

7. Confidentiality

- Vendors may not disclose or misuse any buyer information obtained through the platform

- Buyer data shared for order fulfillment purposes must be used solely for that purpose

- Vendors agree not to contact buyers outside of the FinxCart platform for unsolicited marketing purposes

8. Representations & Warranties

As a vendor, you represent and warrant that:

- You have the legal capacity to enter into this agreement

- Your products and services comply with all applicable laws and financial regulations

- You will not make false or exaggerated claims about the performance of financial tools or trading signals

- You acknowledge that FinxCart does not endorse or guarantee the performance of any product or service sold on the platform

9. Indemnification

You agree to indemnify, defend, and hold harmless FinxCart, its officers, employees, and partners from any claims, damages, losses, or expenses (including legal fees) arising from:

- Your breach of these Vendor Terms

- Your listings, products, or services

- Any dispute between you and a buyer

- Your violation of any applicable law or regulation

10. Limitation of Liability

- FinxCart is not liable for any loss of revenue, data, or business opportunity resulting from platform downtime, listing removal, or account suspension

- FinxCart's total liability to any vendor shall not exceed the total commissions earned by FinxCart from that vendor in the preceding 30 days

11. Termination

FinxCart may terminate your vendor account at any time for:

- Breach of these Vendor Terms or any other FinxCart policy

- Fraudulent, deceptive, or harmful conduct

- Failure to fulfill orders or repeated buyer complaints

- Any activity that poses a legal or reputational risk to FinxCart

Upon termination, pending payouts may be held for up to 90 days to cover any outstanding disputes or chargebacks.

12. Amendments

FinxCart reserves the right to amend these Vendor Terms at any time. Vendors will be notified of material changes via email or platform notice. Continued use of the vendor account after the effective date of changes constitutes acceptance of the revised terms.

13. Governing Law

These Vendor Terms shall be governed by applicable international e-commerce and financial services laws. Any disputes shall first be attempted to be resolved through good-faith negotiation between the parties.
